Terms of Service

1. Acceptance of Terms

By accessing or using the Accounting Firm OS platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a firm or organisation, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Accounting Firm OS provides a white-label practice management platform for accounting firms, including modules for BIR compliance calendar management, document storage, task management, client communication, billing, and analytics. The Platform is licensed to partner firms ("Partners") who use it to serve their own clients.

We are a technology provider. We do not provide accounting, tax, legal, or financial advice. All compliance decisions remain the responsibility of the Partner firm and its licensed professionals.

3. Partner Accounts and Access

Partners are responsible for:

• Maintaining the confidentiality of their account credentials
• All activity that occurs under their account
• Ensuring their staff use the Platform in accordance with these Terms
• The accuracy of client data entered into the Platform
• Obtaining appropriate consent from their clients for data processing

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable Philippine law or regulation
• Process data of individuals without appropriate legal basis
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Resell or sublicense access to the Platform without written authorisation

5. Compliance Library Disclaimer

We maintain the BIR compliance library and update it within 24 hours of official BIR announcements. However, we do not guarantee that the compliance library is complete, error-free, or current at all times. Partners are responsible for verifying all filing deadlines and requirements with the Bureau of Internal Revenue directly. We are not liable for penalties, surcharges, or interest arising from missed or incorrect filings.

6. Intellectual Property

The Platform, including all software, design, content, and compliance library data, is the intellectual property of Accounting Firm OS. Partners are granted a limited, non-exclusive, non-transferable licence to use the Platform for their internal business purposes during the term of their partnership agreement. No ownership rights are transferred.

Partner firms retain ownership of all client data they enter into the Platform.

7. Service Availability

We aim to maintain high platform availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses arising from temporary unavailability of the Platform.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, Accounting Firm OS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the fees paid by the Partner in the three (3) months preceding the claim.

9. Termination

Either party may terminate the partnership agreement in accordance with the terms set out in the signed partnership agreement. Upon termination, Partner data will be made available for export for a period of 30 days, after which it will be deleted from our systems in accordance with our data retention policy.

10. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.

11. Changes to These Terms

We may update these Terms from time to time. We will notify Partners of material changes via email or in-platform notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
